Terms and Conditions
1. Scope
These Terms and Conditions apply to all consulting and automation services provided by Pilicore (hereinafter “Contractor”) to clients. Deviating terms of the client become part of the contract only if expressly agreed in writing.
2. Subject matter
The Contractor provides services for analysis, design and implementation of automation, workflows and AI-supported solutions in the client’s IT environment. Tools and platforms are selected based on suitability (e.g. Microsoft 365, Google Workspace, Make, Zapier, custom APIs or proprietary orchestration). The concrete scope results from the respective offer, statement of work or jointly agreed project scope.
3. Performance & cooperation
Services are generally delivered remotely. The client ensures that the Contractor receives the access, information and permissions required for delivery (e.g. user accounts, test environments, contacts).
Delivery may include, among other things:
- guest access or user accounts in the client’s environment,
- import/export of configurations, flows or applications,
- configuration in test or staging environments,
- optional guidance via screensharing, documentation or step-by-step instructions.
The client remains responsible for reviewing proposed processes, accepting automations, and securing systems and data (e.g. backups, test runs, permissions).
4. Fees & payment
Fees are based on the hourly rate, day rate or fixed price stated in the offer. Unless otherwise agreed, billing is based on actual effort. Optional support or monitoring retainers may be agreed as monthly fees. Price indications on the website are for orientation only and do not constitute a binding offer.
Invoices are due within 14 days of receipt without deduction unless otherwise stated. Statutory default interest applies in case of late payment. The Contractor may withhold further services until outstanding amounts are settled.
5. Warranty & acceptance
The Contractor provides services to the best of its knowledge and according to the current state of the art. Where concrete deliverables are provided, acceptance occurs once the agreed functionality has essentially been delivered and tested. Defects must be reported in writing within 14 days of delivery or acceptance. The Contractor is given the opportunity to remedy. Further warranty claims follow statutory law unless effectively limited herein.
6. Liability
The Contractor is fully liable for damages arising from injury to life, body or health caused by intent or gross negligence, and for other damages caused by intent or gross negligence. In cases of slight negligence, liability is limited to breach of essential contractual duties (cardinal duties) and to the typical, foreseeable damage. Liability for lost profits, indirect and consequential damages is excluded unless mandatory law provides otherwise.
The client must take customary data backup measures. The Contractor is liable for data loss only to the extent the damage would not have been avoided by proper backups. Mandatory statutory liability (e.g. product liability) remains unaffected.
7. Privacy & confidentiality
The Contractor treats all information and data obtained in the course of cooperation as confidential and uses them solely to fulfil the respective engagement. Personal data is processed only within the privacy policy and applicable law. Access to client systems or data is solely for agreed delivery. Copies of productive data are generally not made unless expressly agreed.
8. Consumer withdrawal
If the client is a consumer under § 13 BGB, the statutory 14-day right of withdrawal applies to distance contracts and contracts concluded off-premises. If the Contractor fully performs the service before the withdrawal period ends at the consumer’s express request, the right of withdrawal may expire.
9. Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If the client is a merchant, a legal entity under public law or a special fund under public law, the Contractor’s place of business is the exclusive place of jurisdiction. If any provision is or becomes invalid, the remaining provisions remain effective.
